1. The Firm
These terms govern all professional services provided by Solemira Limited ("the Firm", "we"), a private limited company registered in England and Wales under company number 17374529, with its registered office at International House, 12 Constance Street, London, E16 2DQ.
2. Services
The Firm provides data analytics consulting, artificial intelligence consulting, and business technology advisory services to business clients. We do not provide services to consumers. Each engagement is defined by a written Statement of Work ("SOW") signed by both parties, which prevails over these terms in the event of conflict.
3. Fees and Payment
Fees are quoted in the SOW in GBP, EUR, or USD, exclusive of VAT and applicable taxes. Invoices are payable by bank transfer within 14 days of issue. Diagnostic engagements require 50% payment on signature and 50% on delivery; project engagements are invoiced against milestones; retainers are invoiced monthly in advance. Late payment accrues interest under the Late Payment of Commercial Debts (Interest) Act 1998.
4. VAT on Cross-Border Services
The Firm is not currently registered for UK VAT and no UK VAT is charged on invoices. For business clients established in the EU, services fall under the general B2B place-of-supply rule: the client accounts for VAT in its own Member State under the reverse-charge mechanism where applicable. EU clients must provide a valid VAT identification number before commencement.
5. Confidentiality and Intellectual Property
Each party keeps the other's confidential information strictly confidential. On full payment, deliverables specified in the SOW are assigned to the client; the Firm retains its pre-existing methods, frameworks, and know-how.
6. Liability
The Firm's aggregate liability under any engagement is limited to the fees paid under that engagement, except for liability that cannot be limited by law (including fraud, and death or personal injury caused by negligence). Neither party is liable for indirect or consequential loss.
7. Termination
Either party may terminate a retainer with 30 days' written notice. Fixed-scope engagements may be terminated for material breach unremedied after 14 days' notice. Fees for work performed to the date of termination remain payable.
8. Governing Law
These terms and all engagements are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, without prejudice to mandatory provisions of law applicable to clients in their jurisdiction of establishment.

1. Who We Are
Solemira Limited (company number 17374529, registered office International House, 12 Constance Street, London, E16 2DQ) is the controller of personal data processed in connection with this website and our services. We are registered with the UK Information Commissioner's Office under registration number ZC217375. Contact: info@solemiraltd.com.
2. EU Representative
Where required under Article 27 EU GDPR, the Firm will appoint a representative in the European Union before commencing regular processing of personal data of individuals in the EU. Details will be published here upon appointment; in the meantime, data subjects in the EU may address all enquiries to us directly at info@solemiraltd.com.

4. Recipients and Transfers
We share personal data only with processors supporting our operations (hosting, accounting, e-signature, communications) under Article 28 data-processing agreements. Where data is transferred outside the UK or EEA, we rely on adequacy regulations or the appropriate transfer mechanism — the UK International Data Transfer Agreement / Addendum, or EU Standard Contractual Clauses — with supplementary measures where required.
5. Retention
Engagement and billing records are retained for 6 years after the end of the engagement (limitation and tax requirements); enquiry data not leading to an engagement is deleted within 24 months; and other data is kept no longer than necessary for the purposes stated above.
6. Your Rights
Under the UK GDPR and EU GDPR you have the right of access, rectification, erasure, restriction, portability, and objection, and the right to withdraw consent where processing is based on consent. To exercise any right, contact info@solemiraltd.com. You may lodge a complaint with the UK Information Commissioner's Office (ico.org.uk) or with the supervisory authority of your EU Member State.
7. Automated Decision-Making
We do not carry out automated decision-making producing legal or similarly significant effects concerning data subjects.

2. Consent
Strictly necessary cookies do not require consent. Optional cookies are set only after you choose "Accept" in the consent notice, in accordance with the UK Privacy and Electronic Communications Regulations (PECR) and the EU ePrivacy Directive. You may decline without any effect on your use of the site, and change your choice at any time by clearing your browser storage.
3. Third Parties
We do not use advertising, tracking, or social media cookies. Fonts are served by Google Fonts; see Google's privacy policy for details of data processed when fonts load.
Refund & Cancellation Policy

1. Before Commencement
An engagement may be cancelled in writing at any time before the agreed commencement date. Amounts paid in advance are refunded in full, less any third-party costs already committed with the client's approval.
2. Fixed-Scope Engagements
After commencement, the client may terminate on 14 days' written notice. We refund the portion of prepaid fees attributable to work not yet performed, calculated against the milestone schedule in the SOW. Completed and delivered milestones are non-refundable.
3. Retainer Advisory Service
Retainers may be cancelled with 30 days' written notice. The month in progress is payable in full; no charges accrue thereafter. Unused hours do not roll over unless the SOW provides otherwise.
4. Method and Timing
Refunds are made to the originating account and payment method within 14 days of the effective cancellation date, in the currency originally invoiced. We do not accept cash, and we do not make refunds to third-party accounts.
Complaints Procedure

1. How to Complain
Complaints may be raised with the engagement lead, or in writing to info@solemiraltd.com (marked "Complaint") or to our registered office marked for the attention of the Director.
2. Our Commitments
- Written acknowledgement within 5 business days, naming the director handling the complaint.
- A full written response within 30 days; if more time is genuinely needed, we explain why and provide a revised date.
- No fee is charged for handling a complaint, and raising one does not affect ongoing service.
3. Escalation
If you remain dissatisfied, the matter may be referred to mediation under the CEDR Model Mediation Procedure before any court proceedings. Nothing in this procedure limits your statutory rights or, for EU-established clients, any mandatory local law remedies.

3. Sanctions and Financial Crime
The Firm screens counterparties against applicable UK, EU, UN, and OFAC sanctions lists and does not act for sanctioned persons or entities. Payments are accepted by bank transfer only, from accounts held in the client's own name.
